Preamble

These Terms and Conditions set the rules for using and navigating our website, as well as the terms of use of the services provided through the search engine and the website located at www.bflex.io (the “Website”), offered by FlexThis IKE (the “Company” or “FlexThis”), Tax ID No. 802391110.

FlexThis is the exclusive legal owner of the domain name www.bflex.io, through which it operates its online platform that functions as a search engine. Through its proprietary search and booking system, which it owns and manages, FlexThis provides all kinds of services related to bicycles, mopeds, and vehicles.

These Affiliate Program Terms (“Terms”) govern participation in the FlexThis Affiliate Program (“Program”). By joining or promoting the Program, you (“Affiliate”) agree to be bound by these Terms.

1. Scope of the Program

The Program allows approved Affiliates to earn commissions by referring bike rentals and guided bike tours available on the FlexThis platform through a unique referral link or QR code.

Excluded from commission eligibility are all transactions related to:

  • Leasing and subscriptions, and
  • Sales, including bikes, cars, scooters, and accessories.

FlexThis may, at its sole discretion, extend or modify the Program’s coverage in the future.

2. Approval and Participation

Participation requires prior approval by FlexThis.
FlexThis reserves the right to reject, suspend, or terminate any affiliate application or account at any time, without obligation to provide a reason.

Affiliates act as independent contractors, not as employees or agents of FlexThis.

3. Referral Method

Each Affiliate is provided with a unique link and/or QR code.
A referral is considered valid only when:

  1. The referred user completes a qualifying booking through that unique link or QR code, and
  2. The booking is confirmed and paid in full through the FlexThis platform.

No cookies, pixels, or session tracking are used. Attribution relies solely on the verified unique link or QR code used at checkout.

4. Commission and Payments

  1. Commission Rate: Affiliates receive 10% (including 24% VAT) of the total transaction value of each eligible bike rental or guided tour booking, derived from the Company’s 15% commission share.
  2. Payment Conditions:
    • Commissions are calculated only on completed, non-cancelled bookings.
    • Commissions are paid 5–10 business days after the Affiliate issues an approved invoice.
    • Minimum payout threshold: €50. Amounts below this roll over to the next cycle.
  3. Exclusions:
    • No commission applies to leasing, subscriptions, or any sales category (including bikes, cars, scooters, and accessories).
  4. Currency and Method:
    • All payments are made in EUR via bank transfer.
  5. Taxes:
    • The Affiliate is solely responsible for compliance with tax obligations in their jurisdiction.
    • Affiliates outside Greece must provide a valid VAT or tax identification number.
    • FlexThis may withhold taxes if legally required.

5. Cancellations, Refunds, and Fraud

  • No commission is paid for cancellations made 48 hours or more before the scheduled rental or tour.
  • FlexThis may revoke or reclaim commissions for transactions later found to be cancelled, refunded, or fraudulent.
  • Any attempt at manipulation, self-referrals, or unauthorized use of referral links results in immediate termination and forfeiture of unpaid commissions.

6. Marketing and Brand Use

Affiliates may promote FlexThis using approved marketing materials and their unique link or QR code.

It is strictly prohibited to:

  • Misrepresent FlexThis or its services,
  • Engage in spam or unsolicited messaging,
  • Purchase ads using “FlexThis” or “bFlex” keywords,
  • Use the Company’s trademarks or visuals without written consent.

FlexThis may revoke marketing permissions at any time.

7. Intellectual Property

All trademarks, names, and visual materials provided by FlexThis remain its exclusive property.
FlexThis grants Affiliates a non-exclusive, revocable licence to use such materials solely for promoting the Program.
Upon termination, the Affiliate must immediately remove all such materials, links, and QR codes.

8. Limitation of Liability

  1. Third-Party Services: FlexThis acts solely as a search and booking intermediary. All products, services, or rentals booked through the platform are provided by independent third-party vendors.
  2. Accidents or Damages: FlexThis bears no liability for any accident, injury, damage, loss, or death resulting from the use of any vehicle, service, or activity referred by an Affiliate. The Affiliate acknowledges that referred customers enter into a direct contractual relationship with the vendor, not with FlexThis.
  3. General Limitation: FlexThis shall not be liable for indirect, incidental, or consequential damages (including lost profits or goodwill). The total liability of FlexThis shall not exceed the total commissions paid to the Affiliate during the 12 months preceding the claim.

9. Indemnity

The Affiliate agrees to indemnify and hold harmless FlexThis, its directors, employees, and partners from any claim, damage, or expense arising from:

  • the Affiliate’s actions,
  • breach of these Terms, or
  • violation of any law or third-party right.

10. Termination

Either party may terminate participation at any time by written notice.
FlexThis may terminate immediately without notice if the Affiliate:

  • breaches these Terms,
  • engages in fraudulent, misleading, or harmful activities, or
  • acts in a way that damages FlexThis’s reputation.

Upon termination:

  • Any pending valid commissions will be paid within 30 days, and
  • The Affiliate must remove all FlexThis materials, links, and QR codes within 7 days.

11. Modifications

FlexThis may amend or discontinue the Program or these Terms at any time.
Material changes will be communicated via email or dashboard notification at least 15 days prior to taking effect.
Continued participation after this period constitutes acceptance of the updated Terms.

12. Data Protection and Privacy

FlexThis does not use cookies or personal data tracking for affiliate attribution.
Referrals are verified only via the unique link or QR code.
Both parties agree to comply with applicable privacy and data protection laws when processing customer or affiliate information.

13. Governing Law and Jurisdiction

These Terms are governed by the laws of Greece.
All disputes shall be resolved exclusively by the competent courts of Athens, Greece.
If translated, the English version shall prevail in the event of interpretation differences.

14. Independent Contractor

The relationship between FlexThis and the Affiliate is non-exclusive and independent.
Nothing in these Terms creates an employment, partnership, joint venture, or agency relationship.
Affiliates have no authority to bind, represent, or act on behalf of FlexThis.

15. Entire Agreement

These Terms constitute the entire agreement between FlexThis and the Affiliate and supersede any prior communication or arrangement.
If any clause is found invalid or unenforceable, the remaining clauses remain in full force and effect.
